FLOOKUP DATA WRANGLER TERMS AND CONDITIONS

Definitions

Add-on: The proprietary Google Sheets add-on called "Flookup" or "Flookup Data Wrangler".

Data Studio: The web-based application located at https://app.getflookup.com.

Services: The Add-on and Data Studio collectively, including any artificial intelligence features provided within the Add-on.

You/Your/Yourself: An individual or legal entity exercising permissions granted by this Licence.

Licence: The terms and conditions for use, reproduction and distribution as defined by this document.

Developer: The Add-on and Data Studio owner or entity authorised by the owner that is granting the Licence.

Licence

By downloading, installing or using the Services, you agree to be bound by international intellectual property laws and by the terms and conditions of this agreement between you and the Developer.

The Developer grants you a revocable, non-exclusive, non-transferable, limited licence to download, install and use the Services solely in accordance with the terms of this Licence.

Restrictions

• You may not assign, sub-licence, sell, resell or distribute the Services, in whole or in part, without prior written consent from the Developer.
• It is a breach of this Licence to share, loan, rent, lease or otherwise transfer your access credentials or licence to any other person or entity. If any person other than yourself uses the Services licensed to you, you will be deemed responsible for that breach.
• You agree not to and will not permit others to, use the Services except in compliance with all applicable laws and not for any unlawful purpose. The use or distribution of the Services together with material that is pornographic, racist, vulgar, obscene, defamatory, libellous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, gender or age is strictly prohibited.
• You agree not to and will not permit others to, licence, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Services or make the Services available to any third party.
• Each licensed instance of the Add-on may be used by a single Consumer or Managed Google Account. Use of the Services means that you have loaded, installed or run the Add-on or are accessing Data Studio.

Modifications to the Services

The Developer reserves the right to modify, suspend or discontinue, temporarily or permanently, the Services or any service to which they connect, with or without notice and without liability to you.

Term and Termination

This Licence shall remain in effect until terminated by you or the Developer. The Developer may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Licence with or without prior notice. This Licence will terminate immediately, without prior notice from the Developer, in the event that you fail to comply with any provision of this Licence.

You may also terminate this Licence by deleting the Add-on and ceasing all use of Data Studio. Upon termination of this Licence, you shall cease all use of the Services and delete all copies of the Add-on from your computer or from any other electronic device owned by you.

Severability

If any provision of this Licence is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Future Amendments to the Licence

The Developer reserves the right, at its sole discretion, to modify or replace this Licence at any time. If a revision is material, we will provide notice at least 30 days prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Developer.

Limitation of Responsibility

You will indemnify, hold harmless and defend the Developer, its employees, agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of the Services.

In no event (including, without limitation, in the event of negligence) will the Developer, its employees, agents or distributors be held liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages resulting in loss of profits, loss of use, business interruption, loss of information or data or pecuniary loss), in connection with, arising out of or related to this Licence, the Services or the use or inability to use the Services or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence. The entire liability of the Developer, without exception, is limited to a sum equal to any licence fee paid to the Developer.

Disclaimer of Warranty

THE SERVICES AND ANY ACCOMPANYING FILES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. THIS DISCLAIMER INCLUDES ALL DATA AND FILES THAT ARE TRANSMITTED, MODIFIED, GENERATED, DELETED OR STORED BY THE SERVICES.
